2. Fees and Payment Terms

• Setup Fees: One-time payments for system configuration.
• Subscription Fees: Recurring monthly charges for active services.
• Maintenance Fees: Optional fees for ongoing support and updates.
• External Costs: Clients are responsible for third-party hosting, domains, and external services.

3. Client Responsibilities

• Provide accurate and up-to-date business data (pricing, inventory, services).
• Maintain valid WhatsApp Business and M-Pesa credentials required for integrations.
• Ensure all communications comply with applicable laws and regulations.
• User Consent: You must obtain explicit opt-in consent from users before sending messages via WhatsApp.
• No Spam: You may not use our platform for unsolicited messaging, spam, or abusive communication.
• Opt-Out Compliance: You must respect user opt-out requests (e.g., "STOP") immediately.

4. Acceptable Use Policy

To maintain platform integrity and comply with Meta policies, you agree not to:

• Send unsolicited or bulk messages without user consent
• Use the platform for fraudulent, misleading, or illegal activities
• Circumvent WhatsApp policies or attempt to bypass restrictions
• Use automated systems in a way that harms user experience
• Misuse Data: Use customer data for unauthorized marketing, resale, or profiling

Violation of these rules may result in immediate suspension or termination of services.

5. Service Delivery and Maintenance

• Autonomous Operation: Systems are designed to operate with minimal human intervention.
• Performance Target: Target response times are near real-time but may vary depending on third-party platforms.
• Ongoing Support: Maintenance services are available to ensure continued system performance.

6. Data Protection and Roles

We process data in accordance with the Kenya Data Protection Act, 2019.

• Processor Role: We act as a data processor on behalf of our clients.
• Controller Role: Clients are responsible for determining how user data is collected and used.
• Compliance: Clients must ensure lawful data collection, including obtaining user consent.

7. Third-Party Platforms

Our services depend on third-party platforms including WhatsApp and M-Pesa.

• We are not responsible for outages, delays, or disruptions caused by third-party providers.
• Policy Compliance: Your use of WhatsApp is also governed by Meta’s terms and policies.

8. Intellectual Property

All systems, software, and AI models remain the property of 958Innovations.

You are granted a limited, non-exclusive license to use our services during your subscription period.

9. Limitation of Liability

• We are not liable for losses caused by third-party service failures.
• We are not responsible for business losses resulting from misuse of automated systems.
• No Indirect Damages: We are not liable for indirect, incidental, or consequential damages.

10. Suspension and Termination
